Georgia Company Incorporation
1. Verify the Availability of the Company Name
The best way to verify the availability of the company name is by contacting Georgia’s Secretary of State (SOS) office online through email and/or by phoning them. Both procedures are free and are the most reliable ways to check for name availability.
Applicants may also go to the Georgia Corporations Division website and search for a name in the database if the name does not appear then it is likely that the name is available.
2. Incorporate the Company and Obtain a Certificate of Incorporation
Company incorporation in Georgia is done at the National Agency of Public Registry (NAPR). Applicants need to submit the following documents:
- Certified Application for Registration;
- Certified Memorandum of Association;
- Certified consent of the owner of office premises to use the address as a legal business address.
It should be noted that the application for company incorporation in Georgia must be signed by all founding partners of the company. Additionally, the application, charter or partners’. Agreement and consent of the owner of premises will need to be executed before a public notary or at the registry.
3. Open a Bank Account
It is possible to open a bank account at the same time as the company incorporation process in Georgia. The NAPR can assist with this procedure.
4. Register for VAT (Value Added Tax)
According to Article 157 of the Tax Code of Georgia, “A person/entity, which carries out an economic activity and the total amount of VAT taxable transactions carried out in any continuous period up to 12 calendar months exceeds GEL 100 000” will have to apply voluntarily for VAT registration.
