How Can Foreigners Remotely Register a Singapore Company?
Yes — the entire process, from filing to certificate, now runs online for founders anywhere in the world.
Can a founder in London, Jakarta or New York own a Singapore company without ever flying in? As of March 2026, Singapore had more than 600,000 companies on its register, and foreign founders can now join them fully online.
The Accounting and Corporate Regulatory Authority (ACRA) processes most incorporation filings within one to three business days. That speed makes a remote set-up genuinely practical for founders anywhere in the world. Understanding the requirements before filing prevents rejections, referrals and avoidable regulatory delay. Foreigners may hold 100% of the equity. Even so, every application must satisfy five statutory conditions covering directors, filing agents, addresses, capital and identity verification.
In this blog, we outline the five mandatory requirements for setting up a Singapore company online in 2026. We also unpack the compliance framework behind each one.
Why Must You Appoint a Local Resident Director?
Citizens, permanent residents and Employment Pass or EntrePass holders all qualify; a nominee can fill the seat if you have no local partner.
At least 1 locally resident director is a legal requirement for every Singapore company. This director must be a citizen of Singapore, a permanent resident, or a holder of an Employment Pass or EntrePass. Directors living abroad may serve alongside the resident appointee. Where no local partner exists, a nominee director arranged through a licensed Corporate Services Provider satisfies the requirement. The foreign founder retains full operational control remotely.
Why Does Every Foreigner Need a Licensed Filing Agent?
Non-residents cannot self-file, so a licensed, AML-bound agent submits everything through BizFile+ on your behalf.
Incorporation carries a S$300 registration fee payable through ACRA's BizFile+ portal. Direct filing, however, requires a Singpass digital identity that non-resident founders do not hold. Foreigners must therefore engage a registered filing agent to submit incorporation documents. These agents are licensed and bound by anti-money laundering obligations, and often act as the company secretary as well.
What Qualifies as a Local Registered Address?
A physical Singapore address is mandatory — virtual offices count, P.O. boxes do not.
At least 3 hours of public access every business day is the legal minimum for a registered office. The address must be a physical location in Singapore and cannot be a P.O. box. Official correspondence from ACRA and other agencies is delivered there. Virtual offices are widely accepted if they meet the Companies Act requirements. Residential premises may also qualify under the Home Office Scheme.
How Much Capital Do You Need to Start?
S$1 in any currency is enough to start, with no cap on foreign shareholding.
Minimum paid-up capital starts at S$1, in any currency. A Private Company Limited by Shares (Pte Ltd) permits up to 50 shareholders and full foreign ownership. Individuals and corporate entities are both eligible. Founders define the foreign-owned shareholding structure during remote incorporation. Additional capital may be injected at any time after registration without further approval.
Five Requirements to Remotely Register a Singapore Company
| Requirement | Key Figure | Rule |
|---|---|---|
| Local resident director | At least 1 | Citizen, permanent resident, Employment Pass or EntrePass holder; nominee director permitted |
| Licensed filing agent | S$300 ACRA fee | Non-residents must file through a registered, AML-bound agent via BizFile+ |
| Local registered address | 3 hours daily | Physical Singapore address open to the public; no P.O. boxes |
| Minimum paid-up capital | S$1 | Any currency; up to 50 shareholders; 100% foreign ownership allowed |
| Digital KYC verification | 15 to 60 days | Referral delay risk without clean biometric ID and anti-money laundering checks |
How Does Digital KYC Verification Work?
Clean digital onboarding keeps your application out of ACRA's 15-to-60-day referral queue.
ACRA can take 15 to 60 days where an application is referred for further checks. Rigorous know-your-client verification prevents such delays. Filing agents must verify every director, shareholder and ultimate beneficial owner before submission. This includes biometric identity checks and anti-money laundering screening. Passport copies, proof of address and shareholding details are collected through secure digital onboarding, so verification is completed entirely remotely.
Can You Really Incorporate With Zero Travel?
Yes — from filing to the e-Certificate, nothing in the process requires you to board a plane.
One to three business days is all it takes to complete incorporation fully online. Foreign founders retain 100% equity ownership without visiting Singapore. ACRA then issues an electronic Certificate of Incorporation bearing the Unique Entity Number (UEN). That certificate unlocks corporate bank account opening and transactions with banks and government agencies. AI company incorporation workflows have compressed turnaround times even further, making a fully remote launch genuinely seamless in 2026.
What Is the Most Common Self-Filing Mistake?
Attempting direct portal registration without a Singpass account is where most foreign founders get stuck.
ACRA approves most complete applications within 15 to 20 minutes of receiving the fee. Yet many foreign founders attempt direct portal registration, unaware that non-residents must legally file through an authorised Corporate Services Provider. Self-filed attempts stall at the Singpass barrier or fail identity verification. Before engaging any provider, verify its registration status on BizFile+ by name or Unique Entity Number.
