Tanzania Company Incorporation
1. Verify the Availability of the Company Name
This can be done at the Online Registration System, Business Registration and Licensing Authority (BRELA). Once it has been verified that the names are not used by existing companies, the applicant may proceed with the incorporation of the company.
2. Obtain a Notarized Declaration of Compliance
Applicants must visit the notary for notarization of the declaration of compliance. It will usually cost TZS 10,000-50,000 for notarial services.
3. Incorporate the Company and Obtain a Certificate of Incorporation
This can be done online through the Online Registration System (ORS).
Applicants must submit the following documents in order to proceed with company incorporation in Tanzania:
- 14a (First Directors and Secretary and Intended situation of Registered Office)
- 14b (Declaration of Compliance on Application for the Registration of a Company)
- The Memorandum and Articles of Association
Once all forms are submitted, the registration will be processed within 3-4 days. An electronic version of the certificate of registration will be sent to the applicant.
4. Register for Business License/ Tax/ Social Security
The business license is issued by the Ministry of Industry, Trade and Investment (MITI) or the Local Government Authorities (LGAs). VAT tax registration is done at the Tanzania Revenue Authority (TRA) and only applies to companies that have over the threshold income of TZS 100,000,000. Companies will also have to register their employees for social security with the Social Security Regulatory Authority (SSRA).
