Company Incorporation – Steps to Register Your Business in Cambodia

 

Step 1 – Deposit Initial Capital into the Bank

The first step to register your business in Cambodia is to pay an initial capital of 4 million KHR at an authorised bank. Upon deposit, the bank will provide the company owner with a bank statement as deposit evidence. This process takes a day.

Step 2 – Check Business Name for Uniqueness and Get Name Approval from BRD (Business Registration Department)

The next step is to submit your business name application to the Business Registration Department of the Ministry of Commerce. BRD will check your business name for uniqueness and provide you with the approval. With your name application, you must also submit the following:

  • 1 copy of the application for review
  • 3 copies of the application submitted for enterprise name registration in the commercial registry
  • 3 copies of your ID card or passport
  • 3 photos of the sole owner (photo size 4×6)
  • 1 copy of the payment fee receipt

This process will take about 2 to 7 days, and comes with an associated cost of 10 US Dollars.

Step 3 – Preparation of the Articles of Association and Memorandum

Articles of association and memorandum should be prepared. These are based on the enterprise form and should be consistent with the regulations, applicable laws and standards set by the Ministry of Commerce. You must submit these documents in 3 sets along with the original copies as required. The articles of association and memorandum must contain the following information:

  • Corporate form
  • Company name
  • Business objectives
  • Company duration
  • Registered office
  • Capital of the company and shareholding stated in Cambodian currency
  • Accounts
  • Full name, nationality and address of the director and shareholders
  • Share transfers
  • Announcement of the business establishment

On average, this step takes about 3 weeks and comes with an associated cost of US $420.

Step 4 – Company Seal Issued

After step 3 is complete, you will be issued a company seal and registration certification by the Cambodian Ministry of Commerce within 1 day.

Step 5 – Get Registered for TIN, VAT and Patent Tax

To register for Patent, TIN and VAT tax, you will first have to get all your documents such as Articles of Association and Memorandum, the letter of approval by the Ministry of Commerce and the Certificate of Incorporation, stamped by one of the tax departments located at the Khan district. This process normally takes 30 days.

Step 6 – Provide a Notification to the Ministry of Labour Stating the Start of your Business Operations

Before you start your operations in Cambodia, you must first submit a declaration in written form to Cambodian’s Labour Ministry. The process includes the following processes: announcing company launch and registration with the Labour Ministry, staff declaration, internal regulation development, filing the employment contracts and registration with the NSSF (National Social Security Fund). All this can take a month.

Step 7 – Ensure that You Receive Inspection

Once you establish your business in Cambodia and announce the starting of your operations, make sure that you receive inspection from the Labour inspector.
